We offer three tiers of membership ("Services"). By purchasing a membership, you gain access to the services specified for that tier, subject to the fees and terms outlined below.

a. Essential PlanThis tier is designed for startups and solo founders and includes the following services:

• Monthly bookkeeping and reconciliations

• Basic payroll services (for up to 30 employees)

• Quarterly tax filings

• Standard email support

b. Growth PlanThis tier is designed for scaling teams and includes:

• All services included in the Essential Plan

• Full payroll services (for up to 50 employees)

• Monthly financial statements

• Budget tracking and expense monitoring

• Sales tax preparation and filing

• Priority email and phone support

c. Enterprise PlanThis tier is designed for large and complex teams and includes:

• All services included in the Growth Plan

• Cash flow forecasting and modeling

• Tax planning and compliance strategy

• Monthly or quarterly advisory sessions

• Key Performance Indicator (KPI) dashboards and performance reviews

• A dedicated account manager

We reserve the right to modify, add, or remove features from any membership tier at any time. Material changes to services for active members will be communicated in accordance with Section 10 (Changes to Terms).

 

2. User Registration and Accounts

 

To access the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the security of your password and account credentials.

• Notify us immediately of any unauthorized use of your account.

• Be fully responsible for all activities that occur under your account.

You must be at least 18 years of age to create an account and use our Services.

 

3. Fees, Payment, and Subscriptions

 

a. Billing: You agree to pay all fees associated with your chosen membership tier. The prices listed on our website ("Starting at $1,000/mo," "Starting at $1,500/mo," "Starting at $2,500/mo") are base rates. The final, binding fee for your Services will be quoted to you and, upon acceptance, confirmed in a separate Service Agreement or Engagement Letter, which will be incorporated into these Terms. We use a third-party payment processor to bill you. The processing of payments will be subject to the terms and conditions of the payment processor in addition to these Terms.

b. Subscription Term: Our subscriptions are offered on a [monthly/annual/other] basis.

c. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it in accordance with Section 4. You will be billed at the then-current rate for your membership tier.

d. Price Changes: We reserve the right to change our subscription fees. Any price changes will take effect at the start of the next subscription period following the date of the change. We will provide you with reasonable prior notice of any price changes.

 

4. Cancellation and Refunds

 

a. Cancellation Policy: You may request to cancel your subscription at any time by providing at least thirty (30) days' written notice to us at Customerservice@cypherfiscal.com. Your subscription will remain active, and you will continue to have access to the Services, through the end of the billing cycle that follows the 30-day notice period.

Example: If your subscription renews on the 1st of the month and you give notice on March 15th, your 30-day notice period ends on April 14th. Your service will continue through the end of the April billing cycle (April 30th), and your cancellation will be effective on May 1st.

b. Refund Policy: All fees are non-refundable. We do not provide refunds or credits for any partial subscription periods, unused Services, or dissatisfaction with the Services. All fees paid are for services performed and to be performed during the active subscription term. Upon cancellation, you will be responsible for all fees and charges incurred up to and including the effective date of cancellation.

 

5. User Conduct and Restrictions

 

You agree not to use the Services to:

• Violate any local, state, national, or international law.

• Share your account credentials or allow any other person to use your account.

• Resell, distribute, or sublicense the Services or any content provided as part of the Services.

• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

• Transmit any data that contains viruses, Trojan horses, or other harmful code.

6. Intellectual Property

You are solely responsible for all financial decisions you make. b. Accuracy of Client Data.The accuracy, completeness, and timeliness of our Services are entirely dependent on the accuracy, completeness, and timeliness of the financial information and data you provide to us. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any defects or errors will be corrected.

 

8. Limitation of Liability

 

To the fullest extent permitted by law, Cypherfiscal.com, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• (b) any errors or omissions in the Services, including but not limited to, those resulting from inaccurate data provided by you;

• (c) any unauthorized access, use, or alteration of your transmissions or content.

In no event shall the aggregate liability of Cypherfiscal.com for all claims relating to the Services exceed the total amount of fees paid by you to Cypherfiscal.com during the six (6) month period immediately preceding the event giving rise to the claim.
